Terms of Service

1. Who we are and what these terms cover

namtool ("namtool", "we", "our", "the service") is an AI marketing operator that plans, creates, publishes and measures marketing activity for your business across Meta (Facebook and Instagram) and connected tools. The service is operated by Seroware Ltd, a company registered in England and Wales.

These terms form a binding agreement between Seroware Ltd and the person or entity that opens an account ("you"). By creating an account, starting a trial, or using the service you accept these terms. If you are accepting on behalf of a company, you confirm you are authorised to bind it.

namtool is a business tool, supplied for use in the course of a business, trade or profession. You confirm you are entering into these terms in that capacity, and not as a consumer. This affects your rights, particularly under section 14 (Liability).

2. Your account

You must be at least 18 years old and provide accurate registration details. You are responsible for activity under your account and for keeping your credentials secure. Notify us promptly at support@namtool.com if you believe your account has been compromised.

Accounts are for the business or businesses ("brands") you own or are authorised to market. The number of brands you may run is set by your plan.

3. Plans, trial and billing

Subscriptions are sold per plan, with the number of brands each plan permits shown at the point of purchase. Payments are processed by Stripe; we do not receive or store your full card details.

4. Cancellation and refunds

You can cancel at any time from Settings → Plan & Billing, which opens the Stripe billing portal. Cancelling during the 14-day trial means you are never charged.

If you cancel a paid subscription, it remains active until the end of the billing period you have already paid for, and is not renewed after that. We do not provide pro-rata refunds for partial months. The 14-day free trial is your opportunity to evaluate the service before any payment is taken.

This does not affect any statutory rights you may have as a consumer under UK law.

5. Price changes

Introductory or "Early Access" pricing is a launch price, not a permanent or locked-in rate. We may change subscription prices, but we will give you at least 30 days' notice by email before a change applies to your subscription. If you do not accept a new price you may cancel before it takes effect.

6. Connected accounts and what you authorise us to do

The service works by connecting to accounts you already own — such as Meta (Facebook Pages, Instagram, and ad accounts), Google Analytics, WooCommerce, and Stripe. By connecting an account you authorise namtool to access and act on it on your behalf, which may include:

Your ad budget stays in your own advertising account. You pay Meta directly for advertising spend; namtool takes no share or commission of your ad spend. Your subscription fee is separate from, and additional to, whatever you spend on advertising.

You are responsible for the budgets and spending limits you set. You may disconnect any integration at any time, which stops further action on that account.

7. Your content and ownership

You retain ownership of the brand information, media and other material you provide ("your content"). You grant us a licence to host, process and use it solely to operate the service for you.

As between you and us, you own the marketing content the service generates for your brand and may use it freely. You are responsible for ensuring you hold the rights to any material you upload, including images of people, trademarks, and licensed assets.

8. AI-generated content — review before you publish

The service uses AI models to generate strategy, copy and visuals. AI output can be inaccurate, misleading, or unsuitable, and may unintentionally resemble existing material.

You are responsible for the marketing published under your brand. The service is designed so that new creative is presented for your approval before it goes live. Where you approve content, schedule it, or enable it to publish, you accept responsibility for it. You must ensure your published marketing complies with applicable advertising, consumer-protection and data-protection law, and with the policies of the platform it appears on.

We do not guarantee that AI output is original, accurate, or fit for any particular purpose.

9. Acceptable use

You must not use the service to:

10. Third-party platforms

The service depends on third-party platforms that we do not control. Those platforms may change their APIs, pricing, policies, or approval decisions, or may restrict or disable access to an account. We are not responsible for a third party's decisions, outages, or rejection of your content or advertising, and such events are not a failure of the service.

Your use of each connected platform remains governed by that platform's own terms.

11. No guarantee of marketing results

The service helps you plan, run and measure marketing. We do not guarantee any particular commercial outcome — including reach, engagement, leads, sales, revenue, or return on ad spend. Measurements, forecasts and recommendations are estimates based on available data and may be incomplete or wrong. Nothing in the service is financial, legal or tax advice.

12. Availability and changes to the service

We aim to keep the service available but do not promise uninterrupted access. We may modify, add or withdraw features as the product develops. If we make a change that materially reduces core functionality you rely on, we will give reasonable notice where we can.

13. Suspension and termination

You may stop using the service and cancel at any time. We may suspend or terminate your access if you materially breach these terms, if payment fails, or if we are required to by law or by a platform we depend on. On termination your right to use the service ends; you may request export or deletion of your data as described in our Privacy Policy and Data Deletion page.

14. Warranties and liability

The service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, conditions and representations of any kind, whether express or implied, including any implied warranty of satisfactory quality, fitness for a particular purpose, accuracy, or non-infringement.

To the fullest extent permitted by law, we exclude all liability of any kind — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — arising out of or in connection with these terms or your use of the service. This includes, without limitation, liability for: loss of profits, revenue, business, goodwill, anticipated savings, or data; advertising spend incurred through your own connected ad accounts; decisions, content, or campaigns you approve, publish, or act on; and the acts, omissions, outages, or policy decisions of Meta or any other third-party platform.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Nothing in this section is intended to exclude any right you have that cannot lawfully be excluded.

If, notwithstanding the above, any liability is found not to be validly excluded, our total aggregate liability arising out of or in connection with these terms is limited to the subscription fees you paid to us in the 12 months before the event giving rise to the claim.

15. Data protection

Our handling of personal data is described in our Privacy Policy, which forms part of these terms. Where we process personal data on your behalf in providing the service, we do so in accordance with applicable UK and EU data protection law.

16. Changes to these terms

We may update these terms as the service evolves. If a change is material we will give notice by email or in the app before it takes effect. Continued use after a change takes effect constitutes acceptance.

17. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that consumers may benefit from mandatory protections of their country of residence.
